BYLAWS OF VANGUARD THEATRE COLLECTIVE
ARTICLE I: NAME
The name of the organization shall be Vanguard Theatre Collective (hereinafter referred to as “the Collective”).

ARTICLE II: MISSION STATEMENT
The mission of the Collective is as follows:
The sake of art is to provoke, not to pander. Theatre transforms society in ways no other art form can.

ARTICLE III: PURPOSE AND OBJECTIVES
The Vanguard Theatre Collective is a non-profit organization established for the following purposes:
1. Promotion of Theatre Arts: To promote and advance the art of theatre by providing a platform for artists, actors, directors, and playwrights to showcase their work.
2. Social Transformation: To provoke thought, inspire change, and foster dialogue around relevant societal issues through theatrical productions.
3. Diverse Representation: To provide opportunities for marginalized voices and underrepresented communities in the arts.
4. Community Engagement: To engage with the local and broader community through education, outreach programs, workshops, and public performances.
5. Innovation and Experimentation: To encourage bold, innovative, and experimental theatre that challenges norms and embraces risk.

ARTICLE IV: MEMBERSHIP
1. Eligibility: Membership is open to any individual who shares the mission and objectives of the Collective and is willing to actively participate in its activities.
2. Types of Membership:
o General Member: Open to all interested individuals.
o Supporting Member: Individuals who contribute financially or provide services to support the Collective.
3. Membership Dues: Dues may be required for certain categories of membership, as determined by the Board of Directors.
4. Termination of Membership: A member may resign at any time by notifying the Board in writing. Membership may also be revoked by a majority vote of the Board for actions deemed detrimental to the Collective’s mission.

ARTICLE V: BOARD OF DIRECTORS
1. Composition: The Board of Directors (hereinafter referred to as “the Board”) shall consist of at least three (3) and no more than nine (9) members.
2. Powers and Duties: The Board is responsible for overseeing the management and operations of the Collective, including but not limited to:
o Setting and approving policies.
o Overseeing financial operations and ensuring legal compliance.
o Hiring and evaluating key staff or contractors.
o Strategic planning for the organization’s growth and sustainability.
3. Terms of Office: Directors shall serve a term of two (2) years. Directors may be re-elected for consecutive terms.
4. Election of Directors: Directors shall be elected by a majority vote of the general membership during the annual meeting.
5. Vacancies: Any vacancy occurring in the Board may be filled by a majority vote of the remaining Directors. A Director elected to fill a vacancy shall serve the remainder of the unexpired term.
6. Removal: Any Director may be removed for cause by a two-thirds (2/3) majority vote of the full Board.

ARTICLE VI: OFFICERS
1. Officers: The officers of the Collective shall consist of:
o President
o Vice President
o Secretary
o Treasurer
2. Election of Officers: Officers shall be elected by the Board of Directors annually during the first meeting following the election of Directors.
3. Duties:
o President: Presides over meetings, represents the organization, and ensures that decisions of the Board are implemented.
o Vice President: Assists the President and assumes duties of the President in their absence.
o Secretary: Maintains records of meetings and official documents, and ensures accurate recordkeeping.
o Treasurer: Oversees financial records, budgeting, and reporting of all financial activities of the Collective.
4. Term of Office: Officers shall serve a one-year term and may be re-elected for consecutive terms.

ARTICLE VII: MEETINGS
1. Annual Meetings: The Collective shall hold an annual meeting of the general membership to elect Directors, review annual reports, and discuss future activities.
2. Board Meetings: The Board of Directors shall meet at least four (4) times per year, with one of these meetings designated as the Annual Meeting. Special meetings may be called by the President or any two (2) Board members.
3. Quorum: A majority of the Directors shall constitute a quorum for Board meetings.
4. Decision-Making: Decisions shall be made by a majority vote of those present, except as otherwise provided by these bylaws.

ARTICLE VIII: FINANCES
1. Fiscal Year: The fiscal year of the Collective shall begin on January 1 and end on December 31 of each year.
2. Budget: The Board of Directors shall approve an annual budget.
3. Audit: Financial records shall be reviewed annually, and an audit may be conducted at the discretion of the Board or upon request by a majority of members.
4. Dissolution: In the event of dissolution, all assets of the Collective shall be distributed to another non-profit organization with a similar mission, as determined by the Board.

ARTICLE IX: AMENDMENTS
1. Proposal of Amendments: Amendments to these bylaws may be proposed by any member of the Board or general membership.
2. Approval of Amendments: These bylaws may be amended by a two-thirds (2/3) majority vote of the general membership at any regular or special meeting, provided that the proposed amendments have been distributed to all members at least fourteen (14) days prior to the meeting.

ARTICLE X: NON-DISCRIMINATION POLICY
Vanguard Theatre Collective does not discriminate based on race, color, ethnicity, national origin, gender, sexual orientation, religion, age, or disability in any of its activities, including selection of members, programs, hiring, or decision-making processes.

ARTICLE XI: INDEMNIFICATION
The Collective shall indemnify its Directors, Officers, employees, and agents to the fullest extent permitted by law against any and all liabilities incurred while acting in good faith in the performance of their duties.

ARTICLE XII: ADOPTION OF BYLAWS
These bylaws shall become effective immediately upon their adoption by a majority vote of the Board of Directors.
